The company's governance is based on the Swedish Companies Act, articles of association, the obligations associated with its listing on the NASDAQ OMX Nordic Exchange Stockholm, the Swedish Code of Corporate Governance and other applicable laws and regulations.

Corporate governance includes a set of rules and a decision-making hierarchy designed to ensure the controlled and efficient management of the company's operations, in order to meet shareholders' requirements for return on invested capital. Increased openness and transparency provide good insight into the company's operations, which contributes to effective governance. Corporate governance in Sweden has traditionally been regulated by law. In addition, industry self-regulatory bodies regularly present various regulations relating to corporate governance.

Detailed information about the Swedish Code of Corporate Governance is available at www.bolagsstyrning.se. HiQ aims to achieve a high standard through the clarity and simplicity of its management system and governing documents. Governance, management and control of HiQ is divided between the shareholders at the AGM, the Board of Directors and the auditors in accordance with the Swedish Companies Act and the Articles of Association.

The following guidelines concerning remuneration payable to officers of the company were accepted at the 2012 AGM:

The board of directors proposes that the guidelines accepted at the 2011 AGM should continue to apply unchanged. Remuneration paid to the CEO and others in the company's management shall consist of a fixed remuneration, possible variable compensation, pension and any other customary benefits. The total sum paid must reflect market levels of compensation and the terms and conditions of payment shall reward good performance as well as give equal incentive for both the shareholders and the individual.

Fixed Compensation

Remuneration in the form of fixed compensation is to be paid in proportion to the officer's experience, responsibility and competence.

Variable Compensation

Variable compensation is to be paid in proportion to the officer's responsibility and competence. Additionally, compensation is to be both capped and based on the achievement of goals that correspond with shareholders' long-term interests. The variable compensation shall, whenever applicable, be based on quantitative and qualitative goals.

The company's cost for the variable compensation paid to the CEO and other company management is to amount to between zero and 100 per cent of the total sum of fixed remuneration paid, in line with goal-achievement.

The board proposes that the CEO and other company management in the same manner be given the right to participate in stock option plans as other staff and in accordance with the proposal the board submits at the AGM, as well as to receive any subsidised premium on the same terms as other HiQ employees.

Pension

HiQ offers its employees a premium-based pension scheme with the right to receive a pension payment from 65 years of age. Variable compensation paid is not pensionable. Retirement benefits are to be limited to 35 per cent of the amount of fixed compensation paid and to a maximum of approximately SEK 400,000 per annum and per employee.

Additional Benefits

Additional benefits provided by HiQ consist of conventional benefits given in accordance with local custom.

Termination of Employment and Severance Payment

With regard to the CEO, a mutual period of notice of six months will apply should either the company or the CEO choose to terminate the CEO's employment. Should the company choose to terminate the CEO's employment, a severance payment equivalent to ten month's salary is to be paid. Should the CEO choose to terminate his/her employment, then salary payable and other benefits are to be paid for a period of four months after employment ceases, during which time a non-compete clause will apply. In the case of the termination of the employment of other management, a mutual period of notice of three to six months will ordinarily apply.

The CEO determines the amount of remuneration payable to management. The amount of remuneration payable to the CEO is to be determined by the board.

The board may deviate from these guidelines in isolated cases if special reasons for doing so exist.

Share programmes/warrant data

From 1998 to 2009 HiQ implemented a number of share programmes for its employees for the purpose of attracting, retaining and motivating staff members. The programmes are all based on subordinated debentures with detachable warrants. The programmes were divided into sub-programmes in order to allow warrants to be offered to new employees on an ongoing basis. The terms of the outstanding programmes are two and three years.

  • 1992 HiQ grew up out of the formation of the company Statyetten Konsult AB and its subsidiary, Approve AB. The focus of the group's operations was primarily simulation.

HiQ Göteborg

HiQ Göteborg has been active in the heart of the technology-intensive Gothenburg region since 1998.

HiQ Gothenburg has over 300 specialists with expertise in fields such as software development (from start to finished product), quality management (especially testing and verification), qualified project management and business development, mobility and web development.

We are very flexible when it comes to forms of cooperation with our customers – we can work either at your location or at our own offices. We can participate in our customers' projects, or run an entire project either at your premises or at our offices.

Approximately two-thirds of our business is conducted on-site with our customers and the remainder at our offices, often in the form of project assignments. We have successfully carried out numerous projects at our offices and have extensive experience, expertise and structural investment in this form of working.

HiQ Mälardalen

We are located in Arboga, Borlänge and Västerås and work with advanced IT development throughout the western Mälardalen region.

HiQ Mälardalen is one of the largest IT consulting company in the western Mälardalen region, with about 100 consultants. We work with systems development and project management in both product development and operations and we have successfully conducted complex development in our own premises for over 16 years. We are also a leader in quality assurance. We work both on site at the customer and with larger project commitments in our own premises.

We are operating in the region around Örebro-Västerås-Eskilstuna and in Borlange-Ludvika-Falun and some of our world leading clients are ABB, Atlas Copco, BAE Systems Bofors / Hägglund, Bombardier, FMV, FM, Partex, SEB, Transportation Board, Volvo and Westinghouse.

Today, digital solutions are a business critical part in all industries, and the music industry has received great attention for the challenges in finding new ways to distribute music and earn money. HiQ works with many companies in this area and is also digital partner to Dregen – Sweden’s biggest rock star.

HiQ and Dregen have collaborated for several years and as a digital partner HiQ works with developing Dregen’s digital platforms to help him reach out to his fans. In the beginning of 2014 Dregen launched his new modern website, created by HiQ. Dregen is also a familiar face at HiQ’s many events, such as our rock school and the Knowledge Bar, where he spreads energy and inspiration and plays with the HiQ band HEO. HiQ’s own motor sports star.

As a specialised IT consultancy firm, HiQ works with leading customers in the automotive industry in areas such as Infotainment and Active Safety. Richard Göransson's career started at the age of ten with go-cart and through hard work he has since established himself in the elite of racing and rally.

Mikko Hirvonen

IT + motorsport = True

Motorsport is one of the clearest examples of a sport in which IT is playing an increasingly important role – and it’s no secret that HiQ has a special place in its heart for motorsports. Besides Richard Göransson we also support Finnish World Rally Championship driver Mikko Hirvonen and his co-driver Jarmo Lehtinen.

Mikko Hirvonen entered his first rally in 1998 and he is today one of the world's top drivers. In their Citroën Mikko and Jarmo reached the podium 10 times during 2012 which resulted in a fourth WRC silver behind French superstar Sebastien Loeb. In 2013 Mikko Hirvonen continues to chase his first title as World Champion.

The Maths Centre

Maths is the first step.

At HiQ we believe that it is important that young men and women discover and learn to understand mathematics at an early age.  Both for their own sake as well as to secure competence for the future. Therefore, we work with the non-profit organisation Mattecentrum ("The Maths Centre").

At no charge Mattecentrum helps over 120 000 children and youths to improve their skills in maths. This is done partly through open workshops, where HiQ employees are among the volunteers, but foremost by the online study tool www.matteboken.se (matteboken is the Swedish word for "The maths book"). Matteboken offers theory, video lessons, and excercises, with complete maths books from the Swedish A-E maths courses. Matteboken also contains a forum where users can ask questions.

Who knows, one of the thousands of young people getting help from Mattecentrum might work for HiQ one day?

HiQ Sailing Team

2002-2008 HiQ had a very successful collaboration with the sailing project HiQ Sailing Team. HiQ Sailing Team, the well-known 60-foot trimaran and one of the fastest sailing boats in the world, has broken a number of records through the years. Among the most spectacular were the events of December 2006, when HiQ Sailing Team sailed around Gotland in a new record time of 17 hours 39 minutes – at an average speed of nearly 21 knots!

The trimaran has given us amazing experiences with both customers and staff, a great deal of pride and attention. It has been a true journey writing record history together.

The HiQ Trimaran

ONE OF THE FASTEST SAILING BOATS IN THE WORLD.

HiQ is one of the fastest sailing boats in the world. In good conditions the boat can sail faster than 40 knots – last year’s speed record was 41,6 knots. The boat is 60 feet long, 20 meters wide and weighs around 5 tonnes. The sail area is very large compared with the size of the boat, making the vessel quick and light on the rudder, but an advanced craft to sail – the Formula 1 of sailing. The new trimaran HiQ is one of the fastest sailing vessels in the world and has successfully sailed in competitions such as the ORMA, Jaques Vabre and Route du Rhum.

Trimaran

The project had backing from HiQ and co-partners Klabbe Nylöf, Andreas Andersén and Pelle Norberg. Together they form a very strong team who have accumulated many merits in the Whitbread, Volvo Ocean Race and other major international competitions.

Assignment
To create a mobile solution for simple real-time financial transactions between private individuals for Sweden’s six largest banks in cooperation with Bankgirot.

Challenge
To free users from bank card readers and the hassle of entering the recipient’s account number by pioneering a new way of carrying out transactions in real time. The innovative solution also had to work as a common service for Sweden’s six largest banks, all of which have their own unique security systems and basic processes.

Solution
In a project that expanded as it progressed, HiQ created the Swish mobile app – a shared service for SEB, Handelsbanken, Nordea, Danske Bank, Länsförsäkringar Bank, and the various branches of Swedbank and Sparbank. Using this service, it is possible to transfer money to individuals with an account in a Swish-affiliated bank in real time. All that is needed for the transaction is the recipient’s mobile phone number – no card reader or long account numbers are necessary. Payments are approved with the help of a mobile Bank ID, which ensures that the solution is as safe as the banks’ own individual internet services.

Millions of Swedes can now transfer money in real time via their mobile phones using Swish. During the summer of 2013, the service had more than 500,000 active users– half a million people who can now manage various everyday situations in a much simpler way by using Swish for everything from paying for lunch to collecting money to buy someone a joint birthday present.

Stena Match Cup Sweden

Assignment
HiQ is digital partner to Stena Match Cup Sweden, one of Sweden’s biggest sports events with more than 100,000 visitors yearly. HiQ has a multiannual assignment to help Stena Match Cup Sweden to boost the visitors’ experience before, during and after the event. This is done by improving and simplifying the digital communication.

Challenge
Today’s connected society creates endless possibilities but also challenges and new needs, thanks to new visitor behaviours and technical platforms. Based on this, the client needs help to develop the event and create new solutions for communication and information – solutions that help visitors to follow the sailing competition and everything else that is happening in connection with the event.

Solution
Today, mobile and digital solutions are key factors in all sorts of events in the sporting and entertainment worlds. Therefore HiQ has created a new digital platform and external website for the Stena Match Cup, helping the organisation to interact with the visitors and to spread information. This is a step in improving the event’s digital communication.

Result
The new digital platform simplifies communications for the event organisation and it also contributes to creating an even better event for Stena Match Cup Sweden’s 100 000 visitors. The new solution helps the visitors to smoothly access the information that they need.

Channel 4

Assignment
To help the UK TV station, Channel 4, to create an IPTV service with a new player and portal for YouView – a shared platform for UK public service broadcasters.

Challenge
The way we watch TV has changed. Today’s viewers are used to being able to choose when and how they watch TV. To meet viewers’ needs, the UK’s public service broadcasters and two broadband companies agreed to work together to create YouView – a subscription-free, easy-to-use TV service with more than 70 digital channels, a 7-day catch-up function and a wide variety of TV programmes, films and radio shows on demand. Channel 4 needed to create a completely new player and portal that could be synchronised with this shared solution.

Solution
HiQ played a key role in the team that created the Channel 4 player and portal for YouView. A critical element of the work was the development of a completely new on-demand player for the new platform, complete with content protection, dynamic advertising and detailed reporting. HiQ also helped Channel 4 to develop a logging system, which is essential for diagnosis and error detection when problems occur.

Result
With Channel 4’s new IPTV service, all the channel’s viewers can see their favourite programmes when they want to – both live and on-demand on their normal TVs.

Digital learning aid for iPad

HiQ develops Qnoddarnas Värld - a digital learning tool

Assignment
Helping Natur & Kultur to make learning interactive and fun for school children aged 7 to 10, and for their teachers.

Challenge
When the access and comprehension of digital communication becomes a question of democracy and a critical tool to be a part of society, our school system is one of the first places where children can be given this understanding. Our challenge was to create an interactive educational tool that could work practically in a school environment and cater to different styles of learning.

Solution
The solution presented was "the World of Qnoddarna” (Qnoddarnas Värld) – a learning aid with a sense of gamification, developed directly for the iPad. In the World of Qnoddarna each pupil has its own login and can furnish their own ”stump”, which is their own home in the program. When the pupils log in they see new exciting tasks that their teacher has activated, everything from exercises with letters to narrative texts or geometry – all in an inspiring and educational setting.

Result
Today the World of Qnoddarna is used in many schools all over Sweden. The client Natur & Kultur have received overwhelmingly positive feedback and are now continuing to develop IT in school with HiQ’s help.

Dregen

HiQ created the new website for Dregen

Assignment
To help popular Swedish rock star Dregen to reach out to his fans and media in a way that suits his rock’n’roll image.

Challenge
In today’s digital world an artist is so much more than someone who writes songs and performs on stage. When the channels are endless, a strategic communication is essential to break through the buzz. Dregen spends much on his time stuck on tour buses all over the world and therefore the solution needs to be simple and easy to use. It’s also important with a direct link to the fans so that Dregen can speak to them in person.

Solution
We created a website and a digital platform which with its raw rock’n’roll attitude fits the artist’s image perfectly. The website, based on a flexible, fast, easy-to-use solution, brings Dregen’s communication to a whole new level and makes it easy for him to work while on the run. Because Dregen takes a very active role in social media this was a given component. Much attention was given to usability and the site as a mobile channel.

Result
Dregen’s new website enjoys a great number of visitors and the traffic coming in through mobile channels has increased steadily. The site increases the artist’s visibility and enables contact with fans and media. Thanks to his new digital platform, Dregen can spend more of his time on song writing and touring the world.

Fintoto

Assignment
To create a new and modern mobile service for Fintoto Oy, the group that markets and organizes horse race betting in Finland.

Challenge
To bring the excitement and drama of horse and harness racing to mobile users. Harness racing is Finland’s second-most popular sport in terms of spectator numbers. Annually, some 730,000 spectators attend the Finnish racetracks. In 2012, Tote betting amounted to nearly 250 million euros, half of which comes from online gaming. In step with a growing interest and the arrival of new technology, Fintoto discovered a significant demand for a mobile solution, especially among new players. The service needed to be both modern and easy to use.

Solution
HiQ developed ”Toto-mobiili”, a service that moves Toto betting and live broadcasts into the smartphones in the players’ pockets, enabling them to gamble and follow the races anytime and anywhere. The service focuses on the user, combining cutting-edge technology with the joy and excitement of betting.

Result
Fintoto’s customers can now easily bet on horse racing and follow live broadcasts in their smartphones. The service simplifies for the users and strengthens Fintoto’s offer.

Back in the mid-1990s, HiQ was commissioned to develop, manage and support flight simulator training for the JAS39 Gripen multirole fighter aircraft. The simulator was used to train pilots to fly the plane, handle the tactical systems and deal with various emergency situations.

Challenge
To develop simulators that reflect the advances made and to offer pilots a virtual environment as close to reality as possible, so that on-the-ground training genuinely does resemble the real thing. The aircraft is one of the most technically advanced in the world and the result of one of Sweden’s biggest ever industrial projects. In many respects, the environment in a simulator is even more complex than that in the plane itself; not only the aircraft and its controls, but also the surroundings, operator positions, tactical environment, etc. have to be authentically reproduced. And, of course, the simulators have to be simple for users to operate.

Solution
We worked on the project using agile methodology, continually taking responsibility for what was most important to the customer and users at every point in time. The assignment included everything from project management to configuration management, safety work, the preparation and specification of requirements, design/architecture, development, testing, delivery, training and support for users (both technicians and pilots).

Result
Since the project began, more than 300 pilots have been trained in simulators developed by HiQ. Training in a simulator is very cost-effective and has considerably less impact on the environment.

European Athletics indoor championships

HiQ made the official European Athletics indoor championships app

Assignment
To optimise the experience for visitors to the European Athletics indoor championships at Scandinavium in Gothenburg.

Challenge
When you are watching an athletics competition where several events are taking place at the same time, it can be difficult to follow everything that is happening. It can also be difficult to find your way around the stadium and to make sure you are aware of all the offers that are available.

Solution
As most people today are online 24/7, HiQ created an efficient, easy-to-navigate website and the official app for Android and iPhone for the 2013 championships in Gothenburg. These digital platforms made it easier for spectators to follow the competitions by providing background information, live updates and details of other events in connection with the competitions.

Result
50,000 unique visitors to the website every day during the championships and 5,200 app downloads during the weekend showed that the digital platform interested and reached a large portion of those attending the event. It was easier to follow the competitions on site and for media, sponsors and competitors to communicate with the event’s target groups.

Stockholm Pride Parade

Assignment
To carry out the first ever live broadcast of Sweden’s biggest event – the Stockholm Pride Festival – and to involve participants in the parade with the help of mobile units.

Challenge
To cope with the huge strain on the internet when more than five hundred thousand people out on the streets of Stockholm are encouraged during an intensive four-hour period to stream pictures for a live TV broadcast. We also wanted to set new records for live streaming during the course of one single day. “Openness” was the theme of this year’s Pride Festival, and we wanted to show that technical solutions, such as Channel Q, can contribute to a more open society.

Solution
We created a four-hour live broadcast with presenter Roger Nordin. Guests on the programme included Danny Saucedo, Babsan and Sweden’s Minister for European Union Affairs, Birgitta Olsson. By integrating Bambuser with our website it was possible to follow thousands of live pictures from the parade. The camera team worked hard to create a wi-fi “carpet” to cover the entire the parade route so that everyone could contribute to the fantastic show. The event was broadcast on hiq.se, expressen.se, qx.se and on the large screen in Kungsträdgården Park in Central Stockholm.

HiQ loves PrideResult
We pioneered the first ever live broadcast of the Stockholm Pride Parade. We set a new Nordic record for the number of live streams in a day. We set a new visitor record to our website, and tens of thousands of people watched the TV broadcast online. We also succeeded in showing how technology can create a more open society.

Since 1995 HiQ has had a very strong standing in telecoms and works with global market-leaders. We have extensive technical expertise and commercial competence within telecommunications systems.

For almost 20 years we have been working closely with suppliers, operators, users and legislative authorities. Our know-how and understanding of the industry creates great value for clients and projects in other lines of business, as many industries today are dependent on telecom technology and mobility.

For example, HiQ helps the global telecom player Doro to simplify the use of technology for seniors, by providing project management and testing of Doro’s new products.

Media, gaming and entertainment

Today’s technology creates challenges and endless opportunities for players in the media industry.

We see many new players streaming a variety of different media forms thanks to new technological possibilities. Years of experience in IT, communications and the digitisation of content enable us to meet the increasing demand for services that combine the internet and mobility with media and entertainment.

We are developing a number of services for various TV channels in the Nordic region and elsewhere in Europe. The viewers of today can decide for themselves where, when and how they want to watch TV, for example by using the IPTV service that HiQ has assisted the British Channel 4 to develop.

In addition, HiQ is involved in developing online gaming. This, too, is a constantly evolving industry, and the Nordic companies are successful on the global gaming market.

Automotive

Vehicles and their components are increasingly becoming connected and able to communicate with each other.

The technology used in the automotive industry is constantly evolving and there is a great deal of pressure to introduce shorter and more efficient development cycles.

Together with one of our highly innovative clients we are developing road trains, where several vehicles travel in a semi-autonomous convoy. Benefits of this concept are enhanced safety and reduced fuel consumption.

For a long time, HiQ has been collaborating on prestigious assignments as a strategic partner in the field of active safety. Self-braking vehicles that detect and warn drivers of potential hazards reduce the number of accidents and save lives on the roads.

HiQ is also increasingly involved in projects aimed at developing eco-friendlier vehicles. Technology plays a crucial part in finding effective solutions to reduce emissions and minimise fuel consumption.

Defence and security

The defence industry is global, and international risk scenarios are constantly changing.

HiQ’s know-how in the fields of simulation and communications together with the stable, long-term relationships we enjoy with our clients, have helped pave the way to success in both product development and operational support.

HiQ’s experience within this area is extensive. We have been maintaining and developing training simulators for the JAS 39 Gripen fighter aircraft since the early 1990s. Hundreds of fighter pilots worldwide have been trained in simulators that HiQ helps to develop.

HiQ helps the Swedish Defence Materiel Administration (FMV) to simplify tracking of their material using RFID technology – a high-tech collaboration that has won international recognition.

Industry

In the industry segment, more and more companies are becoming completely IT-dependent.

Intelligent solutions are developed to simplify processes and create new business offers. There are a great number of IT-dependent products and support systems that require development capacity and services for testing and quality assurance. “The cloud” is actively used for streamlining operations. HiQ has a strong backing in this segment and cooperates with several global players in the process of simplifying and improving.

For example, HiQ is helping Seco Tools with the development of sales support applications, simplifying the processes for customers, sales managers and administrators. HiQ has also collaborated with the Finnish industrial group Kuusakoski for many years. Among other things, HiQ has developed the group’s new intranet.

HiQ provides expertise within mobility and mobile solutions to customers in all market segments and we are highly competent with regard to various technical platforms. We provide consultancy services and work with strategies, applications, usability and quality assurance linked to business benefits in our customers' operations. Some examples include a mobile banking application for handling banking errands and a mobile e-commerce platform that allows users to buy goods straight from their mobile phones.

Telecom

Telecommunications involves communication between people and between people and systems.

It can also include systems communicating with each other without human involvement. Today, this means that your computer, video game console, mobile, sound system, TV and other devices are able to interact and communicate with the world around them.

HiQ has long held a strong position within telecommunications and cooperates with the majority of systems suppliers, mobile phone manufacturers, operators and users in the Nordic region. We are currently witnessing a continued, strong convergence between the Internet, media, entertainment and mobility. Telecom technology is playing a central role here as increasing amounts of information are transmitted with the help of IP. HiQ is active at the very heart of this convergence.

One example of this is our development of Dreampark's next-generation IPTV portal. TV distribution over IP networks using a new kind of hybrid box will give viewers access to a broad range of TV channels, the Internet, movie rental services, Facebook and Twitter. In the future, it will even be possible to record programmes directly on mobile phones and tablets.

Simulation technology

One of the specialist areas in which HiQ has a long-running history of expertise is simulation technology. We are leaders in the Nordic region in software development for simulated environments and work together with many different customers in the field.

Ever since the JAS Gripen fighter jet first came into service, HiQ has developed simulators for training pilots. HiQ continues its work on this project as the aircraft and technology continue to be developed. An interesting detail about the JAS Gripen project is that the simulator uses the same system software as the actual fighter jet.

HiQ also develops simulators used in the development and testing of new mobile phones and IT solutions for vehicles. Another example is when we helped Forsslund Systems, the Swedish Royal Institute of Technology and Karolinska Institutet to develop an oral surgery simulator. The system is used by dentistry students to practice surgical procedures.

Today there is a veritable ocean of interactive online games. Scratchcards are now available on mobile phones, poker is a success on tablets and there are many new ideas in the pipeline.

Within finance, HiQ is a specialist in securities trading services.

We have successfully managed a very large number of projects and commissions in this area – from strategy and systems to projects and administration.
