The company's governance is based on the Swedish Companies Act, articles of association, the obligations associated with its listing on the NASDAQ OMX Nordic Exchange Stockholm, the Swedish Code of Corporate Governance and other applicable laws and regulations.
Corporate governance includes a set of rules and a decision-making hierarchy designed to ensure the controlled and efficient management of the company's operations, in order to meet shareholders' requirements for return on invested capital. Increased openness and transparency provide good insight into the company's operations, which contributes to effective governance. Corporate governance in Sweden has traditionally been regulated by law. In addition, industry self-regulatory bodies regularly present various regulations relating to corporate governance.

HiQ aims to achieve a high standard through the clarity and simplicity of its management system and governing documents. Governance, management and control of HiQ is divided between the shareholders at the AGM, the Board of Directors and the auditors in accordance with the Swedish Companies Act and the Articles of Association.

The following guidelines concerning remuneration payable to officers of the company were accepted at the 2012 AGM:
The board of directors proposes that the guidelines accepted at the 2011 AGM should continue to apply unchanged. Remuneration paid to the CEO and others in the company's management shall consist of a fixed remuneration, possible variable compensation, pension and any other customary benefits. The total sum paid must reflect market levels of compensation and the terms and conditions of payment shall reward good performance as well as give equal incentive for both the shareholders and the individual.
Remuneration in the form of fixed compensation is to be paid in proportion to the officer's experience, responsibility and competence.
Variable compensation is to be paid in proportion to the officer's responsibility and competence. Additionally, compensation is to be both capped and based on the achievement of goals that correspond with shareholders' long-term interests. The variable compensation shall, whenever applicable, be based on quantitative and qualitative goals.
The company's cost for the variable compensation paid to the CEO and other company management is to amount to between zero and 100 per cent of the total sum of fixed remuneration paid, in line with goal-achievement.
The board proposes that the CEO and other company management in the same manner be given the right to participate in stock option plans as other staff and in accordance with the proposal the board submits at the AGM, as well as to receive any subsidised premium on the same terms as other HiQ employees.
HiQ offers its employees a premium-based pension scheme with the right to receive a pension payment from 65 years of age. Variable compensation paid is not pensionable. Retirement benefits are to be limited to 35 per cent of the amount of fixed compensation paid and to a maximum of approximately SEK 400,000 per annum and per employee.
Additional benefits provided by HiQ consist of conventional benefits given in accordance with local custom.
Termination of Employment and Severance Payment
With regard to the CEO, a mutual period of notice of six months will apply should either the company or the CEO choose to terminate the CEO's employment. Should the company choose to terminate the CEO's employment, a severance payment equivalent to ten month's salary is to be paid. Should the CEO choose to terminate his/her employment, then salary payable and other benefits are to be paid for a period of four months after employment ceases, during which time a non-compete clause will apply. In the case of the termination of the employment of other management, a mutual period of notice of three to six months will ordinarily apply.
The CEO determines the amount of remuneration payable to management. The amount of remuneration payable to the CEO is to be determined by the board.
The board may deviate from these guidelines in isolated cases if special reasons for doing so exist.
From 1998 to 2015 HiQ has implemented a number of share programmes for its employees for the purpose of attracting, retaining and motivating staff members. The programmes are all based on warrants. The programmes were divided into sub-programmes in order to allow warrants to be offered to new employees on an ongoing basis. The terms of the outstanding programmes are three years.

The CarPay service had more than 120,000 users after just five months, and the feedback has been very positive.
”Surveys show that 97 per cent of the users would recommend CarPay to a friend. The service is also nominated in the Swedish Design Awards in the “Identity – Digital” category, which shows that we don’t only master the technical area, but are also skilled in the design area,” says Marie Norrbrink at HiQ.
CarPay is one of many mobile banking- and payment services that HiQ has developed.
How did the partnership with Volvofinans Bank start?
”It all started with Volvofinans wondering how they could stay relevant in the future, considering all of the new players and services that have arisen within their domain. We teamed up our business development team with theirs and created an innovation plan with the customer in focus. They already had a good ecosystem of services, but it had to be better synchronized and also simpler to get an overview as a client.
What did the solution look like?
”We came to the conclusion that it needs to simpler to be a car owner, and that everything regarding your car finances should be gathered in one place. The name ”CarPay” was created, as was the logo, and after that we developed the mobile solution. The service makes it possible to view transactions and balance, change your credit limit and take advantage of current offers, as well as use your loyalty bonus points directly in your mobile. The service also gives an overview of savings accounts, loans, and leasing. The work has only just started, much more is to come. CarPay is a digital service platform that will continue to evolve over time, to continue improving the service to the customers.
In which way does CarPay simplify everyday life?
”A customer will have everything gathered in one place. I can check my balance and my transactions at any time, and use new kinds of benefits. For example, if you see an offer for new winter tyres, it’s easy to directly adjust your payment capacity. It’s simply a better overview of one’s car economy and a more convenient service than the traditional Volvo card – which you can easily loose or forget to use.

The CarPay app is a first step that gives our customers a full overview of all purchases and access to completely new benefits concerning to car owning. – a healthcare clinic in your mobile
The DiacorPlus service enables you to meet the doctor online for a medical consultation or diagnosis. As a user you also have real-time access to personal healthcare information, such as lab results. As a partner to the healthcare company Diacor, HiQ has been responsible for the development of the new service.
We have decided to meet Mikko Mölsä from HiQ at one of Finland’s largest hospitals, located in Helsinki.
Hi Mikko! How come you wanted to meet here at the hospital?
”We are working more and more within the healthcare domain at HiQ. It is an important and exciting area with great potential for simplicity and improvement.
In which way would you say that DiacorPlus simplifies everyday life?
”Look around you here at the hospital. A lot of resources are put into simple consultations. What if we didn’t need to come here for minor things? It would save both time and money. That is where DiacorPlus enters the scene. The mobile service gives you access to your own little private clinic in your pocket, complete with all of the essential information. DiacorPlus is really breaking barriers in an area in which physical meetings are usually required. The service works in all smartphones during all hours of the day.
With the new service, Diacor is truly lifting digital healthcare to an entirely new level in Finland. What kind of feedback has the mobile service received?
”It’s been fantastic! Many say that it’s very convenient to be able to meet the doctor via live chat or video, and also to have access to personal patient data. Even Gartner was surprised about the level of innovation. Diacor Plus was also nominated in the Blue Arrow digital gala in the ”Disruption” and ”Best performing team” categories. Another reason behind the positive feedback is a very good user interface.
What’s it like to work in a domain such as the healthcare industry?
”It’s not the simplest industry to work with. There are a lot of policies and regulations, for example regarding patient security, and many players feel that existing products and systems are limiting them when they want to work with innovation. Nevertheless, the industry is constantly advancing its positions and we at HiQ have developed smart services and products that simplify and improve in both Finland and Sweden.

Challenge While driving a car you are constantly exposed to hazards in the form of, for example, other road users and wild animals. Remaining alert to all of these hazards unaided is not always an easy task.
AssignmentHelping the client Volvo Cars to make use of advanced technology to create solutions that mean that the vehicle itself is able to detect the hazards that can occur in traffic and on the road. These solutions are to contribute to the vision that by the year 2020 there will be no fatalities or serious injuries to anyone travelling in a Volvo car.
Solution As part of the four-year “Non-Hit Car” project, HiQ is playing its part as principal partner in developing technology that will provide a 360-degree view of the vehicle’s surroundings. The car is now equipped with cameras and radar sensors around its entire body in order to detect possible dangers.
Result An all-round view of the car’s immediate surroundings is a key component in efforts to realise Volvo Cars’ commitment to a zero vision in terms of serious accidents. The ability to identify and detect hazards in good time will enable drivers to avoid accidents and make driving a Volvo both simpler and safer.

- a solution for mobile payments
Challenge To free users from bank card readers and the hassle of entering the recipient’s account number by pioneering a new way of carrying out transactions in real time. The innovative solution also had to work as a common service for Sweden’s six largest banks, all of which have their own unique security systems and basic processes.
Assignment To create a mobile solution for simple real-time financial transactions between private individuals for Sweden’s six largest banks in cooperation with Bankgirot.
Solution In a project that expanded as it progressed, HiQ developed the IT solution for the Swish mobile app – a shared service for SEB, Handelsbanken, Nordea, Danske Bank, Länsförsäkringar Bank, and the various branches of Swedbank and Sparbank. Using this service, it is possible to transfer money to individuals with an account in a Swish-affiliated bank in real time. All that is needed for the transaction is the recipient’s mobile phone number – no card reader or long account numbers are necessary. Payments are approved with the help of a mobile Bank ID, which ensures that the solution is as safe as the banks’ own individual internet services.
Result Millions of Swedes can now easily transfer money in real time via their mobile phones. Swish is a huge success - in its first 4 years it has reached around 5 million users who now use the service to manage various everyday situations, such as paying someone back for a lunch or collecting money to buy someone a joint birthday present. Swish was awarded as "Mobile Payment of the Year" at the Swedish Mobile Gala 2013.
ChallengeIn 1970 there were 20 000 black rhinos in Kenya. Today a mere 650 remain. The poaching of rhinos increased with 5,000 per cent between 2007 and 2012 alone, and the animals aren’t the only ones in danger. The park rangers risk their lives everyday as the prospects of earning big bucks has meant that well-organised criminal gangs with links to terror groups have muscled in on the poaching business. Unless this development is stopped the black rhinoceros, like so many of Africa’s other animals, face the risk of extinction. That would be a tragedy for the ecosystem and for the diversity of the African savannah, as well as for Kenya’s important safari tourism.
AssignmentKenya Wildlife Service, Stimson Center and Linköping University have teamed up in the Ngulia project – an initiative aiming to protect the animals and turn the development with the help of new technology. HiQ was brought in by Linköping University to develop and test the technology, and we contribute with both technical know-how and project management. The ambition is for Kenya’s black rhino population to recover to around 750 by 2016.
Solution The project group’s work focuses on sensor technology and multimodal sensors in smartphones. Based on that, various applications are developed for the rangers, enabling simple communication, orientation and reporting of traces by animals and poachers. The phones also work as security alarms. The project also tests everything from heat-detection cameras and radar systems to drones and gunshot detectors. HiQ staff has worked on-site in the Ngulia rhino sanctuary in Kenya and we also work with Kolmården Wildlife Park in order to test different technologies in the right environment and with the right animals.
Result The rangers have previously been poorly equipped to tackle the poachers. If they were lucky, they had access to a vehicle, night-vision binoculars, a machine-gun each, and a short-wave radio open for anyone to listen to their conversations. Now the park rangers are equipped with smart solutions and tools to protect both the animals and themselves. Eventually, the intention is that it will be possible to expand the surveillance system and use it in other places and in other types of threat scenarios.

ChallengeA municipality has a lot of public information that needs to be available online and easy to access for the citizens. Such material can concern everything from schools or sports venues to building permits and traffic regulations. A big challenge is to present and structure all of this information in a user-friendly way, helping visitors to quickly and easily find what they are looking for. As many today use smartphones as a main platform when looking for information, the material needs to be accessible regardless of device.
AssignmentHiQ had overall responsibility for both design and development in the creation of the new www.kungalv.se. The client’s keywords were courage, creativity and re-thinking, and the task was to create a neat and modern communication platform that improves for the citizens and is easy to use. The project had high demands on usability and simplicity.
SolutionThe new www.kungalv.se was launched in September 2015 and is a responsive solution that focuses on the users. The old municipality website from 2004 has shrunk from 11,000 to 800 pages, with simpler texts, improved logic as well as translations to sign language. The new solution also has a better search functionality and a focus on video and images.
ResultThe new platform simplifies and improves by offering a better user experience, both for the citizens of Kungälv and for the people working with communication in the municipality. It is now easier to both distribute and find information, as for example the search function has been improved, and as the solution is now adapted for all types of devices. The development of the new municipality website will also continue after the launch, with added functionality, more accessibility and even better service for the citizens.
ChallengeMany of us have experienced how tricky it can be to have ordered goods delivered, not least since many couriers’ delivery times don’t fit people’s day-to-day lives. Often, one might not be home when the delivery arrives, and having to fetch the goods at the post office is time consuming.
AssignmentSimplifying the delivery of goods to private individuals together with Volvo Cars.
SolutionHiQ has helped Volvo Cars to develop the technology for the globally acknowledged service Volvo In-car Delivery, that was initially known as ”Roam Delivery”. The service allows consumers to have ordered goods delivered straight to the trunk of their connected Volvo. To use the service, the driver of a Volvo simply chooses their car as a delivery address. The delivery company gets access to the car’s location, colour and registration number, and to a digital disposable key that is connected to Volvo On Call. With a mobile device, the courier simply unlocks the car on site and leaves the goods in the trunk. The car is then immediately locked and the owner receives a message confirming the delivery.
ResultThe innovative service is both timesaving and hassle-free, for the recipient as well as for the vendor and the courier. Pilot tests showed that 86 per cent experienced the service as timesaving. 92 per cent stated that they would rather have their goods delivered to their cars than to their homes. When the service went live in November 2015 it was quickly both talked-about and appreciated, and more vendors have also joined the service since then.

ChallengeNot being able to communicate on equal terms leads to people being isolated from society and excluded from social contexts. Today, a lot of our conversations take place online, but for people suffering from deafblindness or who are visually impaired, navigating and communicating on the internet can be difficult. The problem with Facebook is that the interface and the huge amount of information are not compatible with tools such as screen readers and braille displays. The challenge was therefore to create a simpler and more slimmed Facebook, which still presents the user with the most common functionality.
AssignmentHelping the Swedish Post & Telecom Authority to make Facebook accessible for everyone, including people suffering from deafblindness and people who are visually impaired.
Solution Together with PTS, HiQ has developed the service ”Fejjan för alla”, that works just as well on a computer as in a smartphone or tablet. The user-friendly interface connects well with aids such as screen readers, braille displays and magnification software. The service has been developed in close collaboration with the target group and deafblind people, as well as visually impaired, have been testing the service throughout the development project. ”Fejjan för alla” is a clean and slimmed-down version of Facebook in which the most common actions, such as status updates, friends and messages, have been simplified.
ResultWith the service, deafblind people and those who are visually impaired can communicate with family, new acquaintances and others with disabilities on equal terms. Feedback after the launch has been positive, not least for the simplicity of the service. Possible users are the 2,500 individuals who suffer from deafblindness in Sweden, as well as the country’s approximately 100,000 visually impaired.

ChallengeThe S Group’s in-store bank S-Pankki has over 2,6 million customers in Finland, and service sports in more than 700 of the S Group outlets. S-Pankki’s services are foremost aimed at the users of the S Groups customer loyalty card. The challenge was to connect all of the S Group services – customer loyalty bonus, the internet bank as well as other services and benefits.
AssignmentHelping the S Group in Finland to simplify and improve for their customers, by developing and offering the next generation of mobile banking services.
SolutionHiQ developed a solution called S-mobiili (S Mobile), which is the first mobile bank in the world to be integrated with a retailers customer loyalty program. With the service, S Group customers can manage their bank errands and their loyalty bonus balance at the same time. ResultS-mobiili simplifies and improves the customers’ everyday lives, and it received a fantastic welcoming from both experts and users when it was launched. As an example, the service received an honorary mention for ”Best User Experience” in the GrandOne competition. S-mobiili was launched in November 2013 and it was downloaded to nearly 200,000 mobile devices in the first five months alone. S-mobiili has really succeeded in meeting the users’ expectations and demands, which is proven by an average score of 4 out of 5 stars in reviews of the service.
ChallengeThe way we watch TV has changed. Today’s viewers are used to being able to choose when and how they watch TV. To meet viewers’ needs, the UK’s public service broadcasters and two broadband companies agreed to work together to create YouView – a subscription-free, easy-to-use TV service with more than 70 digital channels, a 7-day catch-up function and a wide variety of TV programmes, films and radio shows on demand. Channel 4 needed to create a completely new player and portal that could be synchronised with this shared solution.
Assignment To help the UK TV station, Channel 4, to create an IPTV service with a new player and portal for YouView – a shared platform for UK public service broadcasters.
Solution HiQ played a key role in the team that created the Channel 4 player and portal for YouView. A critical element of the work was the development of a completely new on-demand player for the new platform, complete with content protection, dynamic advertising and detailed reporting. HiQ also helped Channel 4 to develop a logging system, which is essential for diagnosis and error detection when problems occur.
Result With Channel 4’s new IPTV service, all the channel’s viewers can see their favourite programmes when they want to – both live and on-demand on their normal TVs.
ChallengeIn today’s digital world an artist is so much more than someone who writes songs and performs on stage. When the channels are endless, a strategic communication is essential to break through the buzz. Dregen spends much on his time stuck on tour buses all over the world and therefore the solution needs to be simple and easy to use. It’s also important with a direct link to the fans so that Dregen can speak to them in person.
AssignmentTo help popular Swedish rock star Dregen to communicate and reach out to fans and media in a way that suits his rock’n’roll image.
Solution We created a website and a digital platform which with its raw rock’n’roll attitude fits the artist’s image perfectly. The website, based on a flexible, fast, easy-to-use solution, brings Dregen’s communication to a whole new level and makes it easy for him to work while on the run. Because Dregen takes a very active role in social media this was a given component. Much attention was given to usability and the site as a mobile channel.
Result Dregen’s new website enjoys a great number of visitors and the traffic coming in through mobile channels has increased steadily. The site increases the artist’s visibility and enables contact with fans and media. Thanks to his new digital platform, Dregen can spend more of his time on song writing and touring the world.
Challenge To bring the excitement and drama of horse and harness racing to mobile users. Harness racing is Finland’s second-most popular sport in terms of spectator numbers. Annually, some 730,000 spectators attend the Finnish racetracks. In 2012, Tote betting amounted to nearly 250 million euros, half of which comes from online gaming. In step with a growing interest and the arrival of new technology, Fintoto discovered a significant demand for a mobile solution, especially among new players. The service needed to be both modern and easy to use.
Assignment To create a new and modern mobile service for Fintoto Oy, the group that markets and organizes horse race betting in Finland.
Solution HiQ developed ”Toto-mobiili”, a service that moves Toto betting and live broadcasts into the smartphones in the players’ pockets, enabling them to gamble and follow the races anytime and anywhere. The service focuses on the user, combining cutting-edge technology with the joy and excitement of betting.
Result Fintoto’s customers can now easily bet on horse racing and follow live broadcasts in their smartphones. The service simplifies for the users and strengthens Fintoto’s offer.
ChallengeTo develop simulators that reflect the advances made and to offer pilots a virtual environment as close to reality as possible, so that on-the-ground training genuinely does resemble the real thing. The aircraft is one of the most technically advanced in the world and the result of one of Sweden’s biggest ever industrial projects. In many respects, the environment in a simulator is even more complex than that in the plane itself; not only the aircraft and its controls, but also the surroundings, operator positions, tactical environment, etc. have to be authentically reproduced. And, of course, the simulators have to be simple for users to operate.
AssignmentHiQ has been involved in the development and managent of the flight simulator training for the JAS39 Gripen since the mid-1990s. The simulator are used to train pilots to fly the aircrafts, handle the tactical systems and deal with various emergency situations.
Solution Within the project we are using agile methodology, continually taking responsibility for what is most important to the customer and users at every point in time. The assignment includes consultancy services within everything from project management to configuration management, safety work, the preparation and specification of requirements, design/architecture, development, testing, delivery, training and support for users (both technicians and pilots).
ResultOver the years, more than 300 pilots have been trained in the simulators. Training in a simulator is very cost-effective and has considerably less impact on the environment.
Challenge To carry out the first ever live broadcast of Sweden’s biggest event – the Stockholm Pride Festival – and to involve participants in the parade with the help of mobile units.
Assignment To cope with the huge strain on the internet when more than five hundred thousand people out on the streets of Stockholm are encouraged during an intensive four-hour period to stream pictures for a live TV broadcast. We also wanted to set new records for live streaming during the course of one single day. “Openness” was the theme of this year’s Pride Festival, and we wanted to show that technical solutions, such as Channel Q, can contribute to a more open society.
Solution We created a four-hour live broadcast with presenter Roger Nordin. Guests on the programme included Danny Saucedo, Babsan and Sweden’s Minister for European Union Affairs, Birgitta Olsson. By integrating Bambuser with our website it was possible to follow thousands of live pictures from the parade. The camera team worked hard to create a wi-fi “carpet” to cover the entire the parade route so that everyone could contribute to the fantastic show. The event was broadcast on hiq.se, expressen.se, qx.se and on the large screen in Kungsträdgården Park in Central Stockholm.
Result We pioneered the first ever live broadcast of the Stockholm Pride Parade. We set a new Nordic record for the number of live streams in a day. We set a new visitor record to our website, and tens of thousands of people watched the TV broadcast online. We also succeeded in showing how technology can create a more open society.

We use technical know-how in combination with interaction design and user behaviour when working with both experienced and new players. As an example we collaborate with a worldrenowned company within the area of toys, experiences and entertainment. As the view of the world is uncertain the question of defence is put higher on the agenda – not least is IT security an increasingly important issue for our clients. HiQ’s experience in this area is extensive, as it has been since we started in 1995.
For more than 20 years we have worked with developing training and development simulators for JAS – high-tech solutions that have been used for educating and training hundreds of pilots worldwide. Simulation technology is something we can use in other segments as well, for example within the industry sector.
At HiQ we have always been good at using know-how from one industry in other segments. As an example, we are combining our knowledge within telecom and mobility with our experience within security, as we contribute with technical know-how in the Ngulia project in Kenya. HiQ is also helping the Swedish Defence Materiel Administration (FMV) to simplify tracking of equipment using RFID technology - a collaboration that has won international recognition. Retail has been in the middle of an enormous shift for years. Today, e-commerce represents a large part of our total consumption and is constantly setting new records.

Shopping online is standard today and we are also purchasing more from companies in other countries. For the players in the Nordics this creates new demands and challenges regarding user experience and the complete customer journey. An effect of the consumers’ demands of increased simplicity is for example the launch of Swish for online retail.

Ever since the JAS Gripen fighter jet first came into service, HiQ has developed simulators for training pilots. HiQ continues its work on this project as the aircraft and technology continue to be developed. An interesting detail about the JAS Gripen project is that the simulator uses the same system software as the actual fighter jet.
HiQ also develops simulators used in the development and testing of new mobile phones and IT solutions for vehicles. Another example is when we helped Forsslund Systems, the Swedish Royal Institute of Technology and Karolinska Institutet to develop an oral surgery simulator. The system is used by dentistry students to practice surgical procedures.
